1. General
The following terms and conditions form an integral part of the Seller's offers, order confirmations, and purchase contracts. By placing an order, the Buyer accepts these terms and conditions. Deviating provisions are valid only if agreed in writing by the contracting parties.
2. Deliveries
Unless otherwise agreed in writing, all deliveries are made ex works. Transport containers, pallets, and other packaging material, as well as any markings, are invoiced separately unless otherwise agreed.
3. Warranty claims
The Buyer must inspect the delivery immediately upon receipt and notify the Seller of any defects in writing within 8 days. In the case of a properly raised defect notice, the Seller may choose between a price reduction, rectification, or replacement delivery.
4. Warranty
b-integrated ag provides a 5-year worry-free warranty on its products.
The following are excluded:
a. Segula light sources
b. all ancillary costs arising in connection with remedying defects (warranty performance), such as for installation and removal, transport of the defective and repaired or new product, disposal, travel and handling time, lifting equipment, scaffolding; these costs are borne by the Buyer;
c. Mechanical damage, in particular caused by vandalism, weather, sand, or scratching;
d. Surface damage affecting less than 5% of the total surface area of the luminaire;
e. Wear parts such as all standard lamps, light sources, batteries (unless otherwise defined in the respective product data sheets); hard drives; computers and servers containing hard drives or mechanical wear parts;
f. Discoloration and embrittlement of plastic parts (e.g., made of polycarbonate) caused by the aging process;
g. Color or surface changes on luminaires installed outdoors within less than 5 km of a coastline;
h. Electronic components, products sold by b-integrated ag as trading goods under third-party labels (e.g., touch panels, printers, and computers);
i. Setting values or parameter settings on devices that change due to wear, material fatigue, or contamination;
j. Product defects attributable to software errors, bugs, viruses, or similar;
k. Damage related to force majeure; and
l. Required recommissioning, software updates, etc.;
m. Damage resulting from designs, specifications, or instructions provided by the customer or other third parties;
5. Retention of title
All deliveries are made subject to the Seller's retention of title. The goods remain the property of the Seller until paid in full. The Seller is entitled to have the retention of title recorded in the public register. Insofar as a written declaration from the Buyer is required for such registration, the Buyer is obliged to provide it. In the event of the Buyer's breach of contract, in particular default of payment, the Seller is entitled to reclaim the delivered goods in whole or in part. The Buyer grants access to its premises in advance, as well as permission for all measures necessary to secure the reserved title. The costs of any repossession are borne by the Buyer. The Buyer may neither pledge, sell, nor otherwise transfer to third parties the goods subject to retention of title. If the goods are claimed by third parties (e.g., seizure, attachment), the Buyer must notify the Seller immediately. The Buyer bears all resulting damages and consequential costs.
6. Payment terms
Unless other payment terms are expressly agreed, invoices are payable strictly net within 14 days of invoicing. If payment deadlines are not met, the Buyer owes default interest, without reminder, at the customary bank lending rate, but at least 8% p.a., from the due date. Any expenses and legal costs incurred by the Seller in collecting the debt are to be borne by the Buyer.
7. Plans, drawings, and designs
The Seller reserves the copyright and right of use to all drawings, plans, and illustrations it produces. Samples and models are invoiced separately.
8. Place of performance / jurisdiction
Unless otherwise agreed, the place of performance for the parties' obligations is Zug. The place of jurisdiction for all disputes arising from this contract is Zug. The Seller reserves the right to also sue the Buyer at the Buyer's statutory place of jurisdiction. Swiss law applies.
